01About this licence
1.1 This is a licence between Orvio ("we", "us") and the person or company that holds an Orvio membership ("you", the "Member").
1.2 It covers the files in this package: source code, styles, scripts, design tokens, images, icons, logos and documentation (the "Theme").
1.3 "Membership" means an active paid Orvio subscription (Individual or Team), or a free membership that an Orvio admin has granted to you.
1.4 "Project" means one specific website or application, for one owner (you or one Client), built using the Theme.
1.5 "Client" means a person or company you build a Project for.
1.6 "AI tool" means an AI assistant or coding tool that you or your team use to build your Projects.
1.7 The Theme is licensed, not sold.
02Access comes from membership
2.1 You may get the Theme only while your Membership is active.
2.2 You may get it by ZIP download on the Orvio website, by the `orvio` command-line tool, or through Orvio's Agent MCP, where your AI tool fetches pages, components, tokens and files for you.
2.3 A free Membership gives the same access while it is active. We may end it at any time.
2.4 Only the latest release of each product is available. When a new release ships, older releases can no longer be downloaded, pulled or fetched.
03What you may do
3.1 While your Membership is active, you may use, copy and modify the Theme to build as many Projects as you like.
3.2 You may build Projects for your own business or for Clients.
3.3 You may deploy a Project on any hosting.
3.4 You may keep copies for backup and development.
3.5 You may give a Client the Project, including its source code, so the Client can run, host and maintain it. This gives the Client the right to use the Theme code and assets inside that Project only, and for nothing else. You must tell your Client about these limits. You are responsible if your Client breaks them.
3.6 You may let your AI tools read the Theme and use it to build your Projects. See also section 9.
3.7 You do not need to credit Orvio or the Theme on your Project. Third-party material may have its own credit requirements (section 11).
04Starting a Project, and keeping it
4.1 A Project is started on the day you first copy Theme files into it (or have an AI tool do so) while your Membership is active. It does not need to be live.
4.2 A Project you started stays licensed for good. It does not matter if your Membership later ends.
4.3 For a started Project, you and your Client may keep using, hosting, changing, repairing and redeploying it, and may move it to another host.
4.4 A Client keeps the right to use a Project you started for them, even after your Membership ends.
4.5 Each Project is licensed for itself only. Reusing the Theme files to start another Project needs an active Membership on the day you start it.
05When your membership ends
5.1 Your Membership ends if you cancel it, if it expires, or if payment fails and is not put right.
5.2 After it ends, the rule is: keep what you built, start nothing new.
- Projects you already started stay licensed (section 4).
- You can no longer download, pull or fetch the Theme.
- You get no updates.
- You may not start a new Project with Theme files you took earlier.
5.3 Copies of the Theme that are not part of a started Project may not be used any more. You should delete them.
5.4 If you take out a new Membership later, section 3 applies again.
06Teams
6.1 A Team Membership covers five people: the owner and four teammates added by the owner. They have the same access to the Theme as the owner.
6.2 Only the Team owner adds or removes teammates and manages billing. The Team owner is responsible for the teammates' compliance with this licence.
6.3 When the Team owner removes a teammate, that person's access ends immediately. Section 5 then applies to that person: Projects they started stay licensed, and they can start nothing new.
6.4 When a Team ends, section 5 applies to all five people in the same way.
6.5 Who owns a Project, as between a teammate and the Team owner, is for them to settle. This licence does not decide it.
07Withdrawn releases and suspension
7.1 We may withdraw a release or a whole product, for example because of a rights problem. It then disappears from the catalogue, downloads, the command-line tool and Agent MCP. We may restore it later.
7.2 Withdrawing a release or product does not end the licence for Projects you already started.
7.3 If the law or a court order requires it, or a third party's valid rights claim makes it necessary, we may ask you to remove or replace the specific affected material in a started Project. We will tell you what and why, and give you reasonable time. Everything else in that Project stays licensed.
7.4 We may suspend an account. A suspension is reversible and has a recorded reason. While it lasts, you cannot get the Theme. Projects you already started stay licensed.
08What you may not do
You may not:
8.1 resell, sublicense, share, publish or redistribute the Theme, in whole or in part, as a theme, template, starter, kit or similar product, free or paid, modified or not;
8.2 make the Theme available in a way that lets others take its source, styles or assets and reuse them. This includes publishing the source of a Project, for example in a public code repository, when it contains Theme code or assets. Putting a Project online so people can visit it is allowed;
8.3 redistribute the demo images, portraits, logos and brand marks as stock or as standalone files;
8.4 remove copyright, licence or third-party notices from the files;
8.5 claim the Theme as your own original product for sale;
8.6 let anyone outside your Membership get the Theme from you, except a Client receiving a Project under section 3.5.
09AI
9.1 Your AI tools may read and use the Theme to build your Projects.
9.2 You may not use the Theme to train, fine-tune or tune any AI model.
9.3 You may not put the Theme into public datasets, public or shared indexes, shared knowledge bases or public prompts where others could retrieve it.
9.4 You may not use scripts or bots to extract the catalogue in bulk. Normal use of the command-line tool and Agent MCP is allowed.
9.5 Giving the Theme to an AI tool gives the tool's provider no right to it.
10Example content
10.1 Example content in the Theme is fictional: companies, people, quotes, figures and prices. Any resemblance to real people or organisations is a coincidence.
10.2 Before a Project goes live, you must replace: fictional people, testimonials and figures shown as real; invented client logos; and the Theme's own brand name and logo. Do not present fictional content as real.
10.3 Generated portraits and other decorative images may stay in a live Project, if they are not shown as real people or real clients.
10.4 The Theme's name and logo are not licensed to you as a trademark.
11Third-party material
11.1 Fonts, icons, data and any videos may come from other authors. They keep their own licences. They are listed in `THIRD-PARTY-NOTICES.md`, with their licence texts and any credit they require.
11.2 This licence does not restrict the rights those licences give you. You must also follow their conditions, including any credit they require.
11.3 Images, logos and illustrations are Orvio's own work unless `THIRD-PARTY-NOTICES.md` says otherwise, and are covered by this licence.
12Ownership
12.1 We and our contributors keep all rights not given here.
12.2 Your own content and code stay yours.
13Updates and support
13.1 Updates are new releases. They are available only to active Members, and only the latest release.
13.2 Support is described on the product page. It may change.
13.3 We may change, add or remove products and features. This does not affect Projects you already started.
14Payment and refunds
14.1 Billing is handled by Lemon Squeezy, which sells the Membership as merchant of record.
14.2 If you are not satisfied for a valid reason, we will refund you. We assess the reason in good faith. Write to us through the support address on the Orvio website. Any further refund terms Orvio publishes apply too. This licence does not reduce them.
14.3 Before checkout you asked for immediate access and accepted that the 14-day EU right of withdrawal ends once access starts. This licence does not take away any right you have by law.
15No warranty, limit of liability
15.1 The Theme is provided "as is", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that a Project built with the Theme meets any legal requirement (for example accessibility or privacy law) in your country or for your Client.
15.2 You are responsible for your Projects, their content, and how you and your Clients use them.
15.3 To the extent the law allows, we are not liable for indirect or consequential loss, or for lost profit, data or business.
15.4 To the extent the law allows, our total liability to you is limited to what you paid us in the 12 months before the claim.
15.5 Nothing in this licence limits liability that the law does not allow to be limited, including for fraud, or your rights as a consumer.
15.6 You will cover our reasonable losses from third-party claims caused by your Projects or by your breach of this licence, to the extent the law allows.
16Breach and termination
16.1 If you materially break section 8 or 9, we may end your Membership and your right to get the Theme. We will tell you first. If the breach can be fixed, we will give you reasonable time to fix it.
16.2 If a breach cannot be put right, for example publishing the Theme as a template, we may also end the licence for the Projects involved in that breach.
16.3 Projects you started that are not involved in the breach stay licensed under section 4.
16.4 If we end your Membership for breach, we may refuse to sell you a new one.
17Licence versions
17.1 Each package carries the licence version it shipped with.
17.2 A new version applies only to files you take after it is published.
17.3 A Project you already started stays under the version it started under. You may choose a later version for that Project if it is the same or better for you.
17.4 We cannot reduce the rights of an already started Project.
18Governing law and courts
18.1 Amicable settlement comes first. If a dispute arises, both sides will first try to settle it in good faith, by agreement ("à l'amiable"). You write to us through the support address on the Orvio website, describe the problem, and we answer. Neither side starts court proceedings before 30 days have passed since that first written message, except to protect urgent rights.
18.2 This licence is governed by the laws of Morocco.
18.3 If no amicable settlement is reached, the competent courts of Morocco have jurisdiction over disputes about it.
18.4 If you are a consumer, you keep the mandatory consumer protection rights of the country where you live, and any right to bring a claim in its courts.
19General
19.1 If one part of this licence is invalid, the rest stays valid.
19.2 You may not transfer this licence, except together with your whole business, and only for Projects you already started.
19.3 This licence, together with the third-party licences in section 11, is the whole agreement about the Theme between you and us.
